Corporate Officer – Working on PE/RE [Luxembourg]


 

Our client is a growing Fund Administrator in Gasperich actively looking for 2 new mid-senior Corporate Officers.

The company is composed of 2 teams with 15 people in their office in Luxembourg. They have more than 300 clients, mainly PE/RE, securitizations platforms, individuals

The candidate will have a portfolio of 40/50 companies. They’re looking for someone organized with previous experience in service provider/fund administrator.

Job responsibilities:

  • Draft the documentation for shareholders’ general meetings: convening notices, proxies, minutes, filing of changes with the Luxembourg trade and companies register
  • Draft the documentation for board meetings,
  • Draft ad hoc resolutions of the Board of Managers and of the Shareholders (eg incorporation, change of managers, change of bank signature policy, liquidation, etc.)
  • Prepare and review of updated shareholders’ and instruments’ registers
  • Handle and coordinate AML/CFT tasks such as RBE filings

Profile:

  • At least 2 years’ experience in a service provider
  • Degree in Finance/Law or in a similar field
  • English is mandatory. French is a strong asset.
  • Organized, proactive.
